As Spark moves towards commercialization of products and growth in international markets, The Corporate Tax Lead is a critical component for tax research, compliance, and global tax strategy. Key areas of responsibility include:
Corporate tax activities
Quarterly tax provisions, including the preparation of filing footnotes/disclosures
Compliance with tax regulations domestically and internationally, while managing the impact of tax on the company
Completion, review and filing of various local, state and federal tax returns
Documentation for R&D and orphan tax credits in the US and internationally, where applicable
Correspondence with tax authorities on inquiries and audits, as needed
Assistance with the development and management of intercompany services and loan agreements between Spark US and international subsidiaries
Counsel on current tax procedures and developments, including international tax law and employment tax law, as it impacts the company
Accommodate and serve as primary contact for internal/SOX audits and external audits.
Counsel on tax issues arising from any M&A and licensing negotiations and consummated deals, as well as other ad hoc projects
Prepares the calculations, analyses, accounting and public disclosures surrounding the quarterly tax provision and the annual deferred tax assets.
Ensures tax compliance throughout the company, responding to inquiries/audits and conducting ongoing research into present or pending tax issues/subjects
Conducts global tax planning and implementation
Assists in the preparation (and assumes initial, full review) of all applicable tax returns and filings, including property, sales/use, etc.; Ad hoc projects, as needed in the course of business change/growth
Candidate must have a strong breadth of knowledge and experience surrounding many areas of taxation (both domestically and internationally), including structuring, compliance, M&A, Section 382 limitations/NOLs, tax return filings (including business property), income tax disclosures, tax credit analysis, etc.
The position requires the ability to work collaboratively with various functions and across various geographic locations. The position requires excellent written and verbal communication skills, a strong commitment to accuracy and the ability to work independently in a high growth environment. The candidate should have a demonstrated history of working with tax authorities and client companies/employers to resolve tax issues, creatively, efficiently, and effectively.
Bachelor’s degree in Finance, Accounting, or a business-related field and a Masters degree in Taxation.
Generally has a minimum of 7-10 years of progressive, broad-based tax experience in corporate activities, preferably with biotech and/or pharma
Demonstrated creativity and thought process surrounding tax issues and strategic initiatives
Extensive knowledge of tax law, including the ability to apply this knowledge to new and existing business transactions, both domestically and internationally
Strong knowledge of current and emerging trends and developments within the tax field and corresponding impact on business operations
